These Terms of Service ("Terms") are an agreement between you and ChiperHub Ltd ("ChiperHub", "we", "us") and govern your access to and use of the ChiperHub website, the ChiperHub Store, the ChiperHub Marketplace, and related features (together, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.
1. What ChiperHub Is
ChiperHub is an online platform for buying and selling laptops, gadgets, electronics and related items in Nigeria. It has two parts:
- The Store — products listed and sold by ChiperHub itself. You place a Store order and complete it with our team over WhatsApp (see Section 3).
- The Marketplace — a peer-to-peer service where individual members list their own pre-owned items for sale. ChiperHub holds the buyer's payment in escrow and releases it to the seller after the buyer has had a chance to inspect the item (see Section 4).
On the Marketplace, ChiperHub acts as an intermediary and escrow agent between buyer and seller. We are not the seller of Marketplace items, we do not take ownership of them, and we do not independently test or certify them beyond reviewing the listing before it goes live.
2. Eligibility & Your Account
- Age. You must be at least 18 years old to create an account or transact on the Platform. We collect your date of birth at sign-up and may refuse or close accounts that do not meet this requirement.
- Accurate information. You agree to provide true, current and complete information when you register (name, email, phone, date of birth, gender) and to keep your profile up to date.
- Email verification. You must verify your email address before you can log in and use member features.
- One account. Your account is personal to you. You are responsible for keeping your password confidential and for everything that happens under your account. Tell us promptly if you believe your account has been compromised.
- Account roles. Standard accounts are member accounts. Staff and administrator accounts are created by ChiperHub and are subject to additional internal rules.
3. The ChiperHub Store
Store products are sold by ChiperHub. To order, you add items to your cart and choose "Checkout via WhatsApp". At that point:
- We create a Store Order in your account with the status Pending Confirmation, recording the items, quantities and prices at the time of checkout. You can see it under My Purchases History.
- You are taken to WhatsApp with a pre-filled summary of your order so you can finalise the details with our team.
- Payment for Store items happens off the Platform — typically by bank transfer arranged over WhatsApp. ChiperHub does not process card payments and does not operate a payment gateway.
- Placing a Store Order does not reserve stock. Stock is only committed when our team confirms and records the sale, at which point the order is marked Completed.
- A Store Order that stays Pending Confirmation for longer than a period set by ChiperHub may be cancelled automatically for inactivity, and you will be notified. An administrator may also cancel a pending order on request. Cancelling a pending order has no payment or stock consequences because nothing was charged or reserved.
Prices, product descriptions and availability for Store items may change, and obvious errors may be corrected, until an order is confirmed.
4. The Marketplace & How Escrow Works
When you buy a Marketplace item, the transaction moves through these stages:
- Purchase started. You choose to buy an approved listing. A transaction is created and you are given payment instructions. You have a limited window (set by ChiperHub) to make payment to ChiperHub; if you do not, the item is released back to other buyers.
- Payment confirmed. ChiperHub confirms it has received your payment and holds the funds in escrow.
- Inspection. ChiperHub connects the buyer and seller so the buyer can receive and inspect the item. The seller must respond and cooperate within the contact deadline set by ChiperHub.
- Release or dispute. If the item is as described, you confirm and ChiperHub releases the funds to the seller, less ChiperHub's commission. If there is a problem, you may request a refund or cancellation through the Platform before confirming release (see Section 13).
- Completion. Once payment is released, the transaction is marked complete, the listing is marked sold, and the seller is paid out to their registered bank account.
ChiperHub's role is limited to holding funds, facilitating the connection, and administering this process. ChiperHub does not guarantee the condition, authenticity, functionality or fitness of any Marketplace item beyond what the seller has stated in the listing and what our pre-publication review can reasonably catch. Inspection is the buyer's responsibility.
5. Seller Obligations
If you list an item on the Marketplace, you agree to:
- List only items you legally own and have the right to sell.
- Describe the item accurately and honestly, including faults, and upload only genuine photos and video of the actual item.
- Apply the correct condition tag (for example New, Fairly Used, or UK Used) as required by the listing form.
- Provide valid payout bank account details (bank name, account number and account name) before listing. Payouts are made to that account and nowhere else.
- Respond to ChiperHub and the buyer, and make the item available for handover or shipping, within the contact deadline after a sale.
- Honour the sale at the listed terms once a buyer has paid into escrow, and not attempt to move the transaction off the Platform to avoid buyer protection or commission.
- Accept that your listing is reviewed before publication and may be approved, sent back for revision, rejected, or later retracted by an administrator.
6. Buyer Obligations
- Pay into escrow within the payment window using the instructions provided.
- Inspect the item promptly once connected with the seller, and only confirm release of payment when you are satisfied it matches the listing.
- Use the cancellation and refund-request tools in good faith — to raise genuine problems, not to delay payment or pressure a seller after receiving an item as described.
- Communicate respectfully with sellers and ChiperHub staff.
7. Fees & Commission
Creating an account and browsing are free. For Marketplace sales, ChiperHub adds a service margin / commission on top of the seller's asking price. The price shown to buyers is the full amount including that margin. After a completed sale, ChiperHub pays the seller the agreed amount — broadly, their asking price less any agreed commission — and retains the remainder as its fee for providing the escrow service. The exact figures for a given listing are set when the listing is approved and are reflected in the transaction record. ChiperHub may change its fee structure prospectively (see Section 15).
8. Prohibited Items & Conduct
You may not list, sell, or offer any of the following:
- Stolen goods, or anything you do not legally own or have the right to sell.
- Counterfeit, replica, or knowingly misrepresented products (fake brands, cloned or "master copy" devices).
- Phones or devices that are reported lost or stolen, that have a blacklisted IMEI, or that have an undisclosed iCloud / Google (FRP) / carrier lock.
- Weapons, ammunition, explosives, or their parts.
- Illegal drugs and drug paraphernalia; prescription medicines, medical devices, or supplements making health claims.
- Government-issued identity documents, passports, or official documents.
- Hazardous materials, or products subject to a safety recall.
- Adult or sexual content, products or services.
- Currency, cryptocurrency, gift cards, financial instruments, or "get rich quick" / investment schemes.
- Live animals.
- Items that infringe someone else's intellectual property, or that contain pirated software, media, or activation keys.
- Anything whose sale is restricted or prohibited under Nigerian law.
You also agree not to:
- Engage in fraud, scams, or chargeback abuse.
- Arrange Marketplace transactions off the Platform to avoid buyer protection or commission.
- Post fake or bait-and-switch listings, create listings you cannot fulfil, or post fake, incentivised, or retaliatory reviews.
- Manipulate listing views, ratings, or reviews.
- Harass, threaten, defame, or direct hate speech at other users or ChiperHub staff.
- Impersonate another person, ChiperHub, or ChiperHub staff.
- Upload content you do not have the rights to, or that is unlawful, obscene, or defamatory.
- Evade an account suspension, scrape the Platform, probe or attack its security, or otherwise interfere with its normal operation.
- Provide false registration details or false payout information.
9. Wanted Offers
ChiperHub may publish "Wanted Offers" — requests for specific items it is looking to source. If you respond to say you have a matching item, you confirm the information you provide is accurate and that you are willing to be contacted about it. Responding to a Wanted Offer does not create a binding sale; any resulting transaction is arranged separately.
10. Reviews & User Content
"User Content" means anything you submit to the Platform — listings, descriptions, photos, video, messages, Wanted Offer responses, reviews, and profile details.
- You keep ownership of your User Content, but you grant ChiperHub a non-exclusive, royalty-free licence to host, display, resize and share it as needed to operate and promote the Platform (for example, showing your listing photo as a link preview when a listing is shared).
- You are responsible for your User Content and confirm you have the rights to post it.
- Reviews may be left by a buyer about a seller after a completed transaction and must reflect a genuine experience. Do not post reviews in exchange for payment or other incentives, and do not use reviews to threaten or extort.
- ChiperHub may edit, hide, or remove User Content that breaches these Terms or the law, and may remove listings at any stage of review.
11. Account Suspension & Termination
ChiperHub may suspend or reactivate an account, remove listings or content, or limit access to features if it reasonably believes you have breached these Terms, created a risk to other users or to ChiperHub, or acted unlawfully. Where practical we will tell you the reason. A suspended account cannot log in or transact. You may also stop using the Platform and request closure of your account at any time (see the Privacy Policy for how deletion requests are handled). Provisions that by their nature should survive termination — including fees already owed, content licences, disclaimers, and limitation of liability — will continue to apply.
12. Disclaimers & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, ChiperHub disclaims all warranties it has not expressly made in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
ChiperHub is not a party to Marketplace sales between members and does not warrant the quality, safety, legality or accuracy of any listing or item. Dealings between buyers and sellers, including inspection, handover and shipping, are between those users.
To the fullest extent permitted by law, ChiperHub will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill, or business. For any Marketplace transaction, ChiperHub's total liability is limited to the amount it actually holds in escrow for that transaction at the time the claim arises. Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Dispute Resolution
If something goes wrong with a Marketplace transaction, you must first use ChiperHub's built-in tools: raise it before confirming release of payment by submitting a cancellation or refund request, with a clear reason and any supporting details. An administrator will review the request and the transaction and decide an outcome — which may include releasing payment, cancelling, or refunding the buyer. For Store orders, raise any issue with the ChiperHub team over WhatsApp.
If a dispute cannot be resolved through these processes, the parties agree to attempt good-faith negotiation before pursuing any other remedy.
14. Governing Law
These Terms and any dispute arising out of them or your use of the Platform are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-laws rules, and are subject to the jurisdiction of the Nigerian courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page and, for significant changes, give notice through the Platform (for example an in-app notification or a notice on the site). Changes take effect when posted, and your continued use of the Platform after that means you accept the updated Terms. If you do not agree to a change, you should stop using the Platform.
